This site and its associated technologies are managed by Qubrid, Inc., a Delaware-based entity (“Qubrid,” “Company,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Qubrid platform, including our websites, APIs, applications, infrastructure, compute servers and services, artificial intelligence services, and related tools (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, you may not use the Services.

These Terms form a legally binding agreement between you and Qubrid.

1. Overview of the Services

Qubrid provides computer servers, cloud-based artificial intelligence infrastructure, developer tools, application programming interfaces (APIs), and related services that enable users to build, run, and scale applications using artificial intelligence models, compute infrastructure, and software services.

The Services may include access to:

AI inference and model APIs
GPU compute and virtual machines
Development tools and SDKs
Application integrations
Model orchestration and routing systems
Hosted AI models provided by third parties

Some features may rely on technologies or services provided by third-party providers. Qubrid may add, modify, or discontinue features or services at any time.

2. Eligibility

You must be at least 18 years old to use the Services.

By using the Services, you represent that:

you are legally capable of entering into this agreement
you have not been suspended or prohibited from using the Services
your use of the Services complies with all applicable laws and regulations

If you use the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

3. Accounts and Registration

To access certain features of the Services, you may need to create an account.

When registering an account, you agree to:

provide accurate and complete information
maintain and update your information as necessary
keep your account credentials secure
promptly notify us of any unauthorized access

You are responsible for all activities that occur under your account.

Qubrid may suspend or terminate accounts that violate these Terms or pose security or compliance risks.

4. Order Processing, Payments and Billing

Some features of the Services require payment.

Usage-Based Pricing

Services may be billed based on usage, including but not limited to:

API calls
compute usage
GPU usage
storage
network usage
token processing
other metered resources

Pricing is published on the Qubrid website or platform and may change over time.

Payment Methods

Payments may be processed through third-party providers such as payment processors or digital payment platforms or wire/ACH terms.

By submitting payment information, you authorize Qubrid to charge applicable fees.

Taxes

You are responsible for all applicable taxes related to your use of the Services unless otherwise stated.

Refunds

Except where required by law or explicitly stated otherwise, payments are non-refundable.

Computer Hardware Order Acceptance and Payment Terms

Submitting an order does not automatically bind Qubrid to sell. We reserve the right to accept or decline any order after review. Orders are fulfilled only after all payment details are reviewed and confirmed by our credit and finance teams. We may cancel any order at any time—including for product availability or suspected fraud. When Qubrid cancels an order prior to fulfillment (excluding suspected fraud), we promptly refund the full amount through the original payment method.

Qubrid accepts multiple payment methods such as credit card, wire transfer, and net terms, depending on customer type and credit profile. Customers are responsible for all applicable federal, state, municipal, and other government taxes. Accepted credit cards include Visa, MasterCard, Discover, and American Express. Purchase Orders from government, education, and corporate accounts are subject to verification. Final specifications, taxes, and shipping charges are documented on the invoice issued after shipment.

Pricing and Availability Disclaimer

Prices reflect manufacturer and distributor guidance and may change without notice due to market conditions (for example, component pricing fluctuations). If a listed price requires adjustment, we will contact you to confirm whether you wish to proceed at the updated price or cancel. Stock levels are based on manufacturer availability; if an item becomes unavailable after ordering, we will inform you of estimated availability or lead times. Qubrid reserves the right to decline any order.

Shipping and Cancellation Policy

Processing times depend on manufacturer and market supply conditions. Unless a shipping promotion applies, customers are responsible for all shipping costs. Qubrid ships via carriers such as FedEx, UPS, and other partners at our discretion to provide equal or better service than requested. Customers may provide their own shipping account by contacting us directly. Tracking numbers may not be issued automatically. Customers are fully responsible for receiving shipments. Qubrid is not liable for delays, theft, damage, or loss during transit and will not refund in those scenarios. All sales are non-cancellable, final, and non-refundable as described in the Return, Refund and Repair Policy.

Warranty

Qubrid warrants that products are free from defects in material and workmanship and will repair or replace items under the manufacturer’s warranty without charge for parts and labor. Most systems include 30-day parts coverage and a 1-year labor limited warranty, while some manufacturers offer longer terms (often three years). The warranty applies only to the original purchaser and is non-transferable. It does not cover failures caused by misuse, improper installation, unauthorized repair, environmental damage, or modifications. Evidence of tampering or unauthorized repair voids the warranty. Software, experimental products, compatibility issues introduced after purchase, and non-Qubrid accessories are excluded. Qubrid is not responsible for ancillary costs associated with replacement or repair (such as labor or installation).

Typographical Errors and Part Numbers

Qubrid is not responsible for typographical errors related to pricing or product information, or for changes in manufacturer part numbers/SKUs after an order is placed. Product imagery on Qubrid.com may differ from the shipped product. We strive for accuracy but cannot accept liability for manual or manufacturer-originated technical errors.

Hardware Return, Refund and Repair Policy

All product sales are non-cancellable, final, and non-refundable unless otherwise stated on the product detail page. Refer to the Return, Refund and Repair Policy for full RMA procedures.

5. User Content

You may submit data, prompts, files, images, code, or other materials through the Services (“User Content”).

You retain ownership of your User Content.

However, by using the Services you grant Qubrid a limited license to:

process
transmit
store
analyze

your User Content solely for the purpose of operating and improving the Services.

Qubrid does not claim ownership of your inputs or outputs.

6. AI Outputs

Artificial intelligence models may generate responses or outputs based on user inputs.

You acknowledge that:

AI outputs may be inaccurate, incomplete, or inappropriate
outputs should not be relied upon as professional advice
you are responsible for reviewing and verifying outputs

Qubrid makes no guarantee regarding the accuracy, reliability, or legality of AI-generated outputs.

7. Third-Party Models and Services

The Services may provide access to models, APIs, or infrastructure operated by third parties.

When you use these features:

Qubrid does not control the behavior or policies of third-party services

Qubrid is not responsible for the actions, policies, or outputs of third-party systems.

8. Acceptable Use

You agree not to use the Services for any unlawful, harmful, or abusive activities.

Prohibited uses include, but are not limited to:

violating any applicable law or regulation
generating or distributing illegal content
creating or distributing exploitative or abusive material
generating sexually explicit content involving minors
fraud, impersonation, or deceptive practices
violent or harmful content
attempting to bypass safety or security protections
interfering with system integrity or performance
reverse engineering the Services except where legally permitted
distributing malware or malicious code

Qubrid has implemented safety systems, filters, or moderation tools to enforce these restrictions.

Violation of these rules may result in suspension or termination of access.

9. Platform Safety and Guardrails

Qubrid may implement automated and human moderation systems to maintain platform safety.

These systems may include:

content filtering
automated safety checks
abuse monitoring
policy enforcement systems

Qubrid may block, restrict, or remove content that violates platform policies.

We reserve the right to investigate suspected misuse of the Services.

10. Intellectual Property

All software, systems, interfaces, and technology used to provide the Services remain the property of Qubrid or its licensors.

Except as explicitly permitted, you may not:

copy or reproduce the Services
modify or distribute platform software
reverse engineer the platform
create derivative services from Qubrid technology

All rights not expressly granted are reserved by Qubrid.

11. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Qubrid a perpetual, royalty-free, worldwide license to use that feedback for any purpose, including improving or developing products.

12. Suspension and Termination

Qubrid may suspend or terminate access to the Services if:

you violate these Terms
your use creates security, legal, or operational risk
required by law or regulatory obligations

You may stop using the Services at any time.

Termination does not relieve you of any outstanding payment obligations.

13. Disclaimers

The Services are provided “as is” and “as available.”

Qubrid makes no warranties regarding:

uninterrupted service
error-free operation
reliability or availability
fitness for a particular purpose

To the fullest extent permitted by law, Qubrid disclaims all implied warranties.

14. Limitation of Liability

To the maximum extent permitted by law, Qubrid will not be liable for:

indirect damages
loss of profits
loss of data
business interruption
consequential damages

In no event will Qubrid’s total liability exceed the amount you paid for the Services in the 12 months prior to the claim and will not exceed $100.

15. Indemnification

You agree to defend and indemnify Qubrid and its officers, employees, and affiliates against claims arising from:

your use of the Services
your violation of these Terms
your violation of any law or third-party rights

16. Modifications to the Services or Terms

Qubrid may modify the Services or these Terms at any time.

If material changes are made, we may provide notice through the website or platform.

Continued use of the Services after updates means you accept the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Virginia, without regard to conflict-of-law rules.

Any legal disputes will be resolved in courts located in Virginia, unless otherwise required by law.

18. Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt to resolve disputes informally.

If a dispute cannot be resolved informally, it will be resolved through binding arbitration, except where prohibited by law.

You waive the right to participate in class actions or jury trials to the extent permitted by law.

19. General Provisions

These Terms represent the entire agreement between you and Qubrid regarding the Services.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Failure to enforce any provision does not constitute a waiver of that provision.
